Terms of service

What you can expect from InvoicePadi, what remains in your control, and the responsibilities that come with running your business.

Last updated: 22 October 2026. These pages describe InvoicePadi’s current early-access service. They do not replace professional legal, tax or accounting advice.

01Using InvoicePadi

These terms apply to your use of the InvoicePadi website, WhatsApp invoice bot and dashboard. By using the service, you agree to these terms and should read the Privacy Policy. If you do not agree, do not use the service.

You must be an adult with authority to act for the business you register. You are responsible for ensuring your use of the service is lawful and that information you enter is accurate.

02What the service does

InvoicePadi helps Nigerian businesses turn messages into branded Naira PDF invoices and organise invoice, payment and bookkeeping records. The bot asks for clarification where needed and presents an invoice summary for confirmation.

InvoicePadi is not a bank, payment processor, debt collector, accounting firm or tax adviser. Customers pay your business directly using the payment details you provide. The service does not independently verify transfers, settle disputes with customers or guarantee that an invoice will be paid.

03Registration and number ownership

You can begin registration directly on WhatsApp. The bot saves the business details you provide and associates them with the sending number so future requests reuse your profile. Dashboard-based number linking is a separate option that uses a one-time code.

Only register a number and business you are authorised to use. Protect your WhatsApp number, device, dashboard credentials and any linking code. Notify the service through an available support channel if your number changes or you suspect unauthorised access. A WhatsApp-created business does not automatically have a dashboard login.

04Your invoices and records

You remain responsible for the business identity, customer details, products, prices, quantities, discounts, delivery, bank details and payment terms on each invoice. Review the itemised summary before you confirm. An AI interpretation or generated PDF is not independent proof that the underlying transaction is correct.

  • Confirm only genuine transactions you are authorised to document.
  • Report a payment as received only when you have verified it yourself. A customer’s message or transfer screenshot is not automatic payment verification.
  • Provide lawful and accurate tax information; taxes are not added by default, and advertised future tax tools are not a substitute for professional advice.
  • Keep independent copies of invoices and reports needed for your legal and accounting duties.
  • Share customer information only when you have a lawful basis to do so.

05Confirmation, delivery and follow-ups

The invoice PDF is sent to the requesting business number, not automatically to the customer. You decide when and how to share it. Message delivery depends on WhatsApp, network conditions and other providers, so delivery speed is not guaranteed.

For WhatsApp-issued invoices, the service may ask the business owner about payment approximately three minutes later. Scheduling, delivery rules and network conditions can affect timing. Your explicit payment update is recorded; a reminder is not evidence of payment. Do not rely on a bot reminder as your only receivables control.

06Early access and plan pricing

Published plan prices are Free Starter at ₦0 with a planned allowance of 10 invoices per month, Pro at ₦3,500 per month and Oga Boss at ₦8,000 per month. These are displayed plan offerings, not an active checkout or a current billing agreement.

During early access, billing is disabled, plan limits are not enforced and bookkeeping is open to all users. Features described as planned or “Soon” are not promised to be available today. This includes any unlaunched staff-number, recurring-invoice, customer-portal, tax or specialised export features.

Before paid billing begins, applicable charges, renewal, cancellation and refund conditions must be provided. No automatic renewal or payment authorisation is created merely by messaging the bot or selecting a displayed plan.

07Acceptable use

Do not use InvoicePadi to commit fraud, impersonate another business, create deceptive financial records, distribute unlawful content, expose another person’s private information, or infringe intellectual-property rights.

  • Do not upload malicious files or attempt unauthorised access to another business’s records.
  • Do not bypass access controls, overload the service or automate abusive messaging.
  • Do not send passwords, card security codes, bank PINs or OTPs to the bot.
  • Use only logos and business material you own or are authorised to use.

08Your content and our platform

You retain your rights in your business logo, records and other content you provide. You authorise the processing, storage and document generation reasonably needed to provide the service and deliver the outputs you request.

InvoicePadi’s brand, website design and platform materials are separate from your business content. These terms do not give you ownership of the platform or permission to misrepresent an affiliation. Your customer contracts remain between your business and your customer.

09Third-party services

WhatsApp, hosting, authentication and AI providers support parts of the experience and have their own terms. Their outages, delivery policies, account restrictions and service changes can affect InvoicePadi. Bank names shown in examples do not indicate partnerships or endorsements.

AI may misunderstand wording. Deterministic calculations reduce arithmetic mistakes but cannot correct inaccurate or incomplete input without your review. Do not treat any automated response as legal, financial or tax advice.

10Availability and changes

The service is in early access and may change, be interrupted or contain errors. Subject to applicable law, it is provided on an “as available” basis without a promise of uninterrupted operation, a particular delivery time or suitability for every business purpose.

Features may be modified or discontinued. Keep copies of important records and avoid depending on InvoicePadi as your only system of record. Nothing in these terms excludes a protection, remedy or liability that cannot lawfully be excluded.

11Stopping use and access restrictions

You can stop using the service at any time. Access may be restricted where reasonably necessary to address abuse, security threats, unlawful activity or a material breach of these terms, subject to applicable law.

Stopping messages or unlinking a number does not automatically delete stored records. Deletion and retention are addressed in the Privacy Policy. A self-service account-deletion flow is not currently available.

12Questions, disputes and applicable law

These terms are intended for a Nigerian business service and are subject to applicable Nigerian law, without limiting mandatory protections or rights that apply to you. Business-to-customer disputes about goods, services or transfers remain your responsibility.

The Contact page identifies the available automated WhatsApp channel. A dedicated human-support, legal and privacy contact is not yet listed; do not assume a message to the bot is a formal legal notice or a human-reviewed complaint. Operator identification and formal notice details should be finalised before paid commercial launch.

13Updates to these terms

Terms may change as the service develops. The published update date helps you identify the current version. Material commercial changes, including activating paid subscriptions, should be communicated before they apply. Continued use is subject to applicable law and any required notice or consent.
